📱 0. SCOPE

These terms apply to both:

• Universal AI Backup - AI conversation backup extension
• Tab Manager Pro - Professional tab management extension

💰 1. SUBSCRIPTION PLANS & FEATURES

📋 2. SUBSCRIPTION TERMS

2.1 Automatic Renewal

• Subscriptions automatically renew monthly unless cancelled
• You will be charged on the same day each month
• Renewal charges occur 24 hours before the subscription period ends
• You accept automatic billing by subscribing

2.2 Payment Methods

• We accept credit/debit cards via Stripe
• We accept cryptocurrency via Coinbase Commerce (select products)
• Payment method must remain valid for automatic renewals

2.3 Cancellation

• You may cancel anytime from your account settings
• Cancellations take effect at the end of the current billing period
• You retain access to paid features until the period ends
• No partial refunds for mid-cycle cancellations

2.4 Changes to Pricing

• We may change subscription prices with 30 days notice
• Price changes apply to renewals after the notice period
• You may cancel before the price change takes effect

2.5 License Keys

• Each subscription tier receives a unique license key
• License keys are tied to your email address
• Maximum 3 device activations per license key
• Bundle licenses work for both extensions with one key
• Keys cannot be shared, resold, or transferred
• We may deactivate keys suspected of abuse

2.6 Upgrades & Downgrades

• You may upgrade or downgrade between tiers at any time
• Upgrades: Your existing license key is updated with new features
• Downgrades: Changes take effect at the end of current billing period
• No pro-rated refunds for downgrades

🚫 3. RESTRICTIONS

You may NOT:

• Reverse engineer or attempt to extract the license validation system
• Share or resell license keys
• Bypass or disable license validation
• Use the Software to create competing products
• Remove copyright or license notices
• Use a single license for multiple users
• Modify, decompile, or create derivative works

©️ 4. INTELLECTUAL PROPERTY & EXTENSION NOTICE

4.1 Ownership and Copyright

• The Software is proprietary to ProTools
• All code, designs, and documentation are copyrighted
• This is licensed software, not sold software
• We retain all intellectual property rights

4.2 Browser Extension Architecture Notice

You acknowledge and agree that:

• As browser extensions, the Software's code files are stored locally on your device and are accessible through standard browser extension mechanisms
• This technical accessibility does NOT constitute:
  • A license to use, copy, modify, or redistribute the code
  • Permission to create derivative works
  • A waiver of our intellectual property rights
  • Authorization to bypass license validation
• Viewing code during normal operation or inspection does not grant any additional rights beyond those explicitly granted in this agreement

4.3 Restrictions on Use

Even though code files are accessible, you expressly agree NOT to:

• Copy or reproduce the Software or any portion thereof
• Modify, adapt, translate, or create derivative works
• Reverse engineer the license validation system
• Redistribute, sublicense, rent, lease, or lend the Software
• Remove or alter copyright, trademark, or license notices
• Extract components or code for use in other projects
• Share methods or tools to bypass license validation

4.4 Permitted Viewing

You may view the code for:

• Personal educational purposes
• Security auditing of your own installation
• Debugging issues with the Software
• Understanding functionality for proper use

This does NOT grant rights to reproduce, modify, or share such code or knowledge derived from it.

4.5 Open Source Components

This Software includes third-party open source components which are licensed under their respective licenses (see Section 12). These components retain their original licenses. This agreement applies only to our proprietary code and components.

🔒 5. DATA & PRIVACY

5.1 Local Processing

• Universal AI Backup: Conversation data processed locally on your device
• Tab Manager Pro: Tab information processed locally on your device
• No content data is transmitted to our servers

5.2 License Validation

• License validation requires internet connectivity
• Only your license key and email are transmitted for validation
• License validation occurs: on activation, periodically, and when features are used

5.3 Analytics

• We do NOT collect usage analytics or telemetry
• No behavioral tracking or data collection

5.4 Data Retention After Cancellation

• Exported files remain on your device after cancellation
• Saved sessions remain on your device after cancellation
• Your license key and subscription history are retained for 90 days
• You may request data deletion by contacting support

💵 6. REFUND POLICY

6.1 30-Day Money-Back Guarantee

• First-time subscribers may request a full refund within 30 days
• Refunds are processed to the original payment method within 7-10 business days
• Abuse of refund policy (multiple signups/cancellations) may result in denial

6.2 No Refunds After 30 Days

• No refunds for renewals beyond the first 30 days
• No partial refunds for early cancellation
• Technical issues may be eligible for prorated refunds at our discretion

6.3 How to Request Refund

• Include: License key, purchase date, reason for refund

🔧 7. UPDATES & SUPPORT

7.1 Software Updates

• Updates and bug fixes are provided automatically
• Major version upgrades are included in your subscription
• Updates may add features or improve existing functionality

7.2 Technical Support

• Tab Manager Pro: Email support (48-hour response time)
• Universal AI Backup Starter: Email support (48-hour response time)
• Universal AI Backup Pro: Priority email support (24-hour response time)
• Productivity Bundles: Priority support

7.3 Service Availability

• We strive for 99.9% uptime for license validation servers
• Scheduled maintenance will be announced in advance
• No compensation for temporary service interruptions under 24 hours

⚠️ 8. TERMINATION

8.1 By You

• Cancel anytime; access continues until period ends
• You must uninstall the Software if subscription expires

8.2 By Us

We may terminate your subscription for:

• Violation of these terms
• Payment failure after 3 attempts
• Abusive or fraudulent behavior
• Sharing license keys

Termination is immediate with no refund for violations.

• You have the right to cancel your subscription at any time
• Cancellation takes effect at the end of your billing cycle

This agreement is governed by the laws of the United States.

13.2 Dispute Resolution

• Informal resolution: Contact us first at aibackuppro@gmail.com
• Arbitration: Disputes will be resolved through binding arbitration
• Small claims court: You may pursue claims in small claims court

🔄 14. CHANGES TO TERMS

• We may update these terms with 30 days notice
• Continued use after notice period constitutes acceptance
• Material changes will be highlighted in the notification
